Competition Bureau does not oppose amalgamation of the two largest Canadian modular space companies

News Release

June 23, 2016 — OTTAWA, ON — Competition Bureau

The Competition Bureau will not be opposing the proposed amalgamation of Modular Space Corporation (ModSpace) and Williams Scotsman International Inc. (Williams Scotsman) at this time.

ModSpace and Williams Scotsman are the two largest companies that lease of modular units and related services in Canada. Modular units include, for example, office trailers, lavatories, and lunch rooms, and are typically rented on a project‑specific basis by commercial and industrial customers.

The Bureau concluded that the transaction is unlikely to result in a substantial lessening or prevention of competition of the rental of modular units in any relevant market in Canada. Consequently, the Bureau is issuing a No‑Action Letter to the parties.

Under the Competition Act, the Bureau has a mandate to review mergers to determine whether they are likely to result in a substantial lessening or prevention of competition. In reviewing mergers, the Bureau considers many different elements, including the level of economic concentration in the relevant industry and the merging parties’ market shares.

Quick Facts

  • ModSpace and Williams Scotsman are the two largest companies that lease modular units and related services for commercial or industrial use in Canada.
  • A No‑Action Letter (NAL) confirms that the Bureau will not, at this time, challenge the proposed transaction before the Competition Tribunal under the merger provisions of the Competition Act.
